General Terms and Conditions for TraceParts Product Catalog Services, applicable to Parts Distributors.

The terms and conditions below supersede any others unless agreed by both parties in writing.

In addition to the terms detailed below, the applicable General Terms and Conditions of Sale (GTCS) for TraceParts Services can be reviewed on this page.

Intellectual Property (IP) and Lifetime Warranty for product data modeled by TraceParts

All source data provided by the Customer is the sole and unique property of the Customer. During the contract initial or renewal term, the Customer authorizes TraceParts to use source data to create and publish the CAD models according to the solutions defined in the Proposal Agreement.

Catalogs modeled utilizing the TraceParts modeler: the TraceParts modeler is a catalog modeler designed for producing CAD models for delivery via the Internet or other digital media. Internal data created utilizing the TraceParts modeler (i.e. geometric models, metadata definition, etc.) is the sole and unique property of TraceParts. The Customer may request in writing that TraceParts provide a copy of models it creates for the Customer in a single agreed upon output CAD format such as 2D DWG or 3D STEP. For highly configured models, a subset of possible increments may be delivered at the discretion of TraceParts.

During the contract initial or renewal term, the Customer shall have full ownership of exported CAD models and will have the full licensing rights to reuse them without limitation. Ownership of catalog data will transfer to Customer upon payment of related invoices and verification that Customer account is current.

Upon request from the part manufacturers owning the intellectual property of their digital catalog data, TraceParts may have to remove access to such data without notice. This data lifecycle management may affect part distributors and any other third parties using TraceParts digital content for syndication on their website(s) or application(s).

Sales & Marketing reference

The Customer authorizes TraceParts to include its company name, logo and range(s) of products in sales and marketing materials after going live with the solution agreed in the Proposal Agreement.

The Customer agrees that TraceParts may issue an individual or joint press release within two (2) months of going live and that TraceParts may publish a blog post and/or success story.

TraceParts Credits

Implementations utilizing TraceParts Easylinkยฎ solutions and/or the TraceParts API shall include the text hyperlink, โ€œpowered by TracePartsโ€ linking to www.traceparts.com or a URL to be provided by TraceParts.

Service Level Agreement (SLA) for Catalog Hosting & Publishing Services

TraceParts target is to provide availability of its online services for a minimum of ninety nine percent (99%) of the time under which the TraceParts online services are not under (i) a planned service interruption or (ii) an interruption which is the result of a Customerโ€™s request.

Terms and Conditions governing Usersโ€™ Personal Data accessible via TraceParts Analytics

To comply with the European General Data Protection Regulation (GDPR), please review the applicable Terms & Conditions relating to the use of Personal Data shared via TraceParts Analytics: info.traceparts.com/legal/tpa-user-data-gtu/

Part distributors who use TraceParts services to syndicate digital content owned by part manufacturers on their website(s) or application(s) must provide TraceParts with a user ID for each download transaction so that the part manufacturers, who own the intellectual property of their digital catalog data, can figure out which of their product data have been downloaded from which websites and applications.

Such user ID must be unique for each individual user and may be in the form of an email address or an anonymous ID supported by TraceParts API. Part Manufacturers will then only have access via their own TraceParts Analytics account to the anonymous download data of their catalogs originated from such third party website(s).

Changes of Project Scope

Any changes in project requirements or related to the product information utilized to develop the Proposal Agreement could result in additional fees.
